Proof of authority to sign
Anyone who is to sign a document on behalf of a legal entity may be asked to provide evidence that he or she is authorized to do so. This is standard practice when doing business at the international level. Authorities in other countries frequently demand that your signature is notarized and accompanied by a statement establishing your authority to sign.
The notary can assess the document presented to him, consulting the Articles of Association of the legal entity concerned, information held in the public registers and other relevant documents. Having done so, he issues a statement establishing a person’s authority to sign documents on behalf of the entity.
Whenever Kooijman Autar has to rely on a power of attorney signed on behalf of a foreign legal entity, we demand a comparable statement, issued by a legal practitioner in the relevant country, with respect to the authority of the person acting on behalf of the foreign legal entity in question.
